WE, the undersigned, being all persons of full age and citizens of the United States and a majority residents of the State of New York, desiring to form a corporation pursuant to the provisions of the Membership Corporations Law for the purpose of incorporating, as provided in Section 5 of Article I of said law, the existing unincorporated association known as American Institute of Mining and Metallurgical Engineers, Incorporated, do hereby make, acknowledge and file this Certificate for that purpose, and do certify as follows I That the American Institute of Mining Engineers is an unincorporated association organized and existing with the object of promoting the arts and sciences connected with the economic production of the useful minerals and metals and the welfare of those employed in these industries by means of meetings for social intercourse and the reading and discussion of professional papers, and to circulate by means of publications among its members and associates the information thus obtained

Synopsis.-A new feature in coal mining, where the coal is to be conveyed from a high to a lower elevation and the topography of the country is such as to preclude surface haulage. The distance from the mine to the tipple inn this instance is about 3,000 ft. and the difference in elevation between the terminals 321 ft., of which 225 ft. occurs in the first 1,300 ft. from the loading terminal. A mine car was designed especially for this plant consisting of two tramway buckets on one pair of trucks, the buckets being lifted from the truck, attached to the train line automatically, and conveyed to the tipple. THROUGHOUT eastern Utah, in the Book Cliff range and the Wasatch plateau, the coal-bearing measures are admirably exposed, in the bold and for the most part bare escarpments. The geology is simple, the rocks being almost flat, or at the most dipping not more than 10 per cent. The coal beds occur in a formation, or group of strata, consisting of sandstone and shale, 600 to 800 ft. thick, which has been correlated with the Mesaverde formation of the Cretaceous. Above this occurs about 2,000 ft. of alternate layers of buff-colored sandstone and shale. Below the coal lie the Colorado shales, which are estimated to be about 1,500 ft. thick, below which are the red rocks of the Jura-Trias. As a rule the coal beds all clip in a northerly direction and under the high mountain. The canyons opening out into what is known as Castle valley all cut the coal beds, and the beds rising in the direction of the valley are found frequently high up on the escarpment, often as much as 1,000 ft. above the valley. The surface features of the region have an economic bearing on the availability of the coal. The valleys and gulches in the Colorado shale extend out from the coal areas across the edge of the plain, so that it is impracticable to build transportation lines parallel with the boundaries of the field within several miles of the coal land. It will be necessary, therefore, to build branch lines up to the coal lands from points on the Denver & Rio Grande Railroad traversing Castle valley.

1. Any society of undergraduates at a technical school, comprising students in any branch of engineering, metallurgy, chemistry, geology, etc., may be recognized by the Board of Directors in its discretion as an Affiliated Student Society, and its name, together with the names of its President and its Secretary, may be published in the Bulletin or the Year Book of the Institute. The individual members of such a society will not be catalogued as individual members or associates of the Institute, but may at any time be proposed for election as members or associates of the Institute, in the usual way. 2. Membership in an Affiliated Student Society, certified by the official representative thereof, and accompanied with suitable testimony as to character and qualifications, will have special ,weight with the Membership Committee of the Institute, in its consideration of the proposal of a candidate for membership or for Junior membership.

I. PRESIDING OFFICER. At all business meetings of the Institute the President, or, in his absence, the First Vice-President, or, in the absence of both of them, any other Vice-President or Director, chosen by the meeting, Shall preside. At all other meetings of the Institute the President, or, in his absence, one of the Vice-presidents, Shall preside. If none of these be present the meeting Shall elect a Chairman. The President Shall do and perform Such other duties as may from time to time be assigned to him by resolution of the Board of Directors of the Institute. IL ORDER OF BUSINESS. At each business meeting of the Institute the order of business Shall be as follows: 1. Reading of minutes of preceding meeting. 2. Report of the President. 3. Report of the Treasurer. 4. Report of the Secretary. 5. Election of Directors. 6. Reports of Standing Committees. 7. Reports of Special Committees. 8. Special Orders. 9. Miscellaneous business. This order of business may be changed at any meeting, by a vote of a majority of the Members and Associates present. At all sessions of the Institute, other than business meetings, the order of proceedings and the time of adjournment Shall rest in the discretion of the presiding officer. III. SECRETARY OF THE INSTITUTE. The Secretary Shall keep a record of the proceedings of all the meetings of the Institute. He Shall be custodian of the corporate Seal, of the minute books and of all the legal documents belonging to the Institute. He Shall have charge on behalf of the Institute of all correspondence. He Shall notify all Officers and Directors and all members of committees of their election and appointment; Shall issue notices of all meetings of the Board, and of the annual and other business meetings of the Institute; and Shall, in calling Special meetings of the Directors, Specify the objects of Such meetings. He Shall act as clerk at all the meetings of the Board of Directors and at all meetings of the Institute. The Secretary Shall be custodian of all technical or Scientific papers Submitted to the Institute for its consideration and Shall have general charge and supervision of the editing and proof-reading of all material published by the Institute, and. of the distribution thereof. The Secretary shall be the custodian of all back numbers of the Transactions and other publications of the Institute. There Shall be kept under his direction an account

That on said last-mentioned date a regularly called meeting of said association was held at its office in the Borough of Manhattan, City of New York; that thirty days before such meeting notice of the intention to incorporate said association was given by mail to each member thereof whose residence or post-office address is known; that at said meeting the following resolutions were offered, seconded and duly adopted by the unanimous vote of all its members then present, to wit: "Resolved, That it is the sense of the members and associates of the American Institute of Mining Engineers in general meeting assembled that it is desirable and necessary for the well being of said association and its members and for the furtherance. of the objects for which the same has been formed, that said association incorporate under the Membership Corporations Law of the State of New York; "And Further Resolved, That the Members of the Council of this Association, or a majority thereof, be and they hereby are authorized, in accordance with the provisions of Section 5 of Article I. of the Membership Corporations Law, to incorporate this association for the same purposes for which it has been organized and conducted, in the manner provided in Article II. of said law; "And Further Resolved, That the name of said corporation as hereby adopted by this meeting shall be American Institute of Mining Engineers; "And Further Resolved, That the said incorporators shall be named in the Certificate of Incorporation as directors of such corporation until its first annual meeting, and that such directors and their successors in office shall be and they hereby are authorized to enact and adopt a Constitution and By-Laws for the government of said corporation." DISCUSSION, A. Y. Bethune presiding M. E. Wadsworth and W. M. Fassell (University of Utah, Salt Lake City)—The authors of this paper should be complimented on the experimental techniques they have employed to investigate the rate of solution of galena in sodium hydroxide solution. Studies of this type are important not only as a practical means of leaching normally non-leachable substances, but also to determine the mechanism of solution at the solid-aqueous solution interface. There is some question, however, as to the conclusions which have been drawn by these authors concerning their proposed mechanism. Unfortunately, the contribution of OH- was not definitely established in their work, and concentrations less than 0.5 N NaOH evidently were not investigated. The pressure data at 123°C and 0.5 N NaOH were used to determine pressure dependency and the subsequent model proposed was taken as correct on the basis of the three points presented in Fig. 5 of the paper. The Oregon School of Mines Society held its regular monthly meeting on the evening of October 23. This meeting was an informal reunion at which members gave accounts of personal experiences during the last three months. Many members of both junior and senior classes answered their country's call to arms and so did not return to college. The senior class is particularly well represented in the Army, as two men hold lieutenant's commissions and a third is already in France with a hospital unit. The junior class has also contributed men to various branches of the service. Plans for the regular meetings include discussions by members and lectures by outside authorities oil mining and allied topics. These meetings are open to the lower classes and all others interested. The Oregon School of Mines Society, composed of members of the junior and senior classes, has, joined with the sophomore and freshman relining students in purchasing a Liberty Bond under the name of the Miners' Club of 0. IT just so happens that we do our best thinking while painting wood- work and last Saturday while finishing up the screens (the bugs come late where we live) the paint very nearly ran out. By adding turpentine, it just stretched. It was pretty thin for the job though, which made us think that that is just about what the situation is going to be in the mining industry if something isn't done to increase the number of enrollments in engineering curricula. Engineers are going to be spread too thin for the job at hand.
