"7.1. INTRODUCTIONThis chapter addresses the joint venture and examines a number of general concepts of the joint venture relationship. Chapter 8 looks at some specific concepts related to the provisions of a joint venture agreement, which are equally applicable to a shareholders’ agreement or other contractual relationship. The term “joint venture” is used because the author is a common law solicitor (a matter of convenience for which apologies are offered to civil law readers), but it should be noted that, in many aspects, the legal structure of an entity is irrelevant. It is the relationship of the parties, be they venturers or shareholders, that is important, and the areas of concern are surprisingly similar (except for terminology).The details of the joint venture relationship and agreement could fill several books. Accordingly, this chapter and the next focus on selected topics that appear to have caused problems or confusion or to be the basis for disputes. And remember that, although the following discussion is in the context of a joint venture, many of the comments apply, either directly or indirectly, to virtually any common undertaking and the agreement defining it.For interest’s sake, this chapter starts with a summary of some of the earlier types of agreements and arrangements that have evolved into the joint venture agreement of today in Canada, the philosophy of their format, and the reasons for their demise.7.2. EVOLUTION OF THE CANADIAN JOINT VENTUREThe Early DaysMuch of the opening up of Canada’s north is due to exploration for and development of mines. The early discoverers were relatively free to roam and explore at will and, if they were fortunate enough to find something, they dealt with the appropriate government to acquire exploitation rights. The early interests lay in gold or silver. Workings were small, usually worked by the owner alone or with only a couple of helpers to extract the native gold or silver. If the owner wanted to move on, he could sell his property outright and use his stake to look elsewhere.As logging and mining camps were opened, the development of better roads and railways made access easier. Entrepreneurs saw the opportunity to make money by assembling large parcels of land and working them as a single operation. In order to do this, some owners who were not ready to sell out had to be convinced to do so through more attractive offers"

This publication contains analyses and related source data for 352 natural gas samples from wells and pipelines in 18 States and 5 foreign countries. All of the samples were obtained and analyzed during calendar year 1974 as a part of Bureau of Mines investigations of the occurrences of helium in natural gases of countries with free market economics. This survey has been conducted in the United States by the Bureau of Mines since 1917. In late 1965, the survey was expanded to include foreign gasfields. The analyses published herein were made by mass spectrometer and a special helium analysis apparatus, which are described in Bureau of Mines Bulletins 4862 and 576.3 The results of the investigation of the occurrences of helium are published annually to make the information available as soon as possible to the gas industry and the public in general. C. W. MERRILL*-Mr. Hughes' paper not only is very well presented but is most timely in that it covers a subject of vital interest to the United States. Tin is one of the strategic metals which has not been found here in appreciable quantities. The total United States tin output since the first recorded production over 100 years ago would not supply current consumption for a fortnight. On the consumption side, tin is extremely important in national defense because of its use in tin plate which, in the form of tin cans, makes it possible to feed properly the armies that the United States recruits from its civilian population in emergencies. Moreover, the internal combustion engines so important in powering tanks, planes, and other war machines, require large quantities of tin alloys for bearings and for soldering. These considerations, along with the fact that Malaya, historically, has been the leading source of tin to the United States, make the kind of information that Mr. Hughes has presented so ably, a matter of vital interest.

This report is the first of a series concerned with processes for producing magnesium. These reports will evaluate metallothermic, carbothermic , and electrolytic production methods, and will furnish a cost basis for comparing the processes. Areas deemed most promising for future research will be delineated for each procedure. This report presents briefly the history of the metallothermic process, and describes the operations of the Defense Plant Corp. (DPC) plants that employed the process. A hypothetical plant designed to produce 12,000 tons of magnesium per year, using ferrosilicon as a reductant, is described, and raw materials, energy, and major equipment requirements are estimated. Several process modifications are suggested for future research.

"This paper describes the modifications made to the Fox Mine copper concentrate bin in order to obtain a continuous flow condition. The design of these modifications is based on test results obtained on Fox Mine concentrate using the flow factor testing machine in the research facilities of Cominco at Trail, B.C.The original design consisted of a cylindrical steel bin on a concrete slab with two slot-discharge openings. Based on predictions of the maximum mass flow hopper angle for conical and wedge shaped hoppers for the concentrate on various potential bin lining materials, Ultra-High Molecular Weight (UHMW) Polymer was selected as a liner.Using the recommended angles for conical and wedge shaped hoppers, the profile of the bin base was changed to suit the existing slot openings.The initial method of fastening the liner resulted in failure of the connections. Subsequent modification to the zinc concentrate bin fastener system proved satisfactory and it has now been in operation for over one year without any separation of the lining material.Utilization of flow testing procedures on concentrate samples has demonstrated that proper design of storage bins or hoppers to achieve continuous flow can be incorporated into the design of new plants."

Introduction In the Twentieth Annual Report of the Mcintyre Porcupine Mines, Limited, for the year ending March 31st, 1932, the General Manager, Mr. R. J. Ennis, said: "During the period under review, the plans outlined in last year's report have been completed, and all operations have been centralized in the new plant adjacent to No. 11 shaft. The new mill went into operation on May 27th and attained its rated capacity of 2,000 tons per day on November 15th. The new shops, warehouse, change-house, and general offices were occupied on December 1st, consummating the change from the old to the new plant ... "Silicosis is now definitely recognized as an industrial disease, and progresses rapidly when associated with tuberculosis. In an effort to combat its prevalence and progress, the new change-house was designed to build up the men's resistance to this and other forms of disease. It provides for a complete change from underground to street clothing, with a shower bath and solarium treatment in the interval. 'Unfortunately, in almost every goldmine, a very small percentage of the work-men are not adverse to taking some of the high-grade ore for their own purpose. This, in turn, tends to cast suspicion upon the honourable as well as the dishonorable employees. The new change-house routine discourages this practice and eliminates unjust suspicion, to the satisfaction of all concerned with the Company's operations".

Introduction The operations of The Granby Consolidated Mining, Smelting and Power Company, L1mited, have always been concerned with the mining of low-grade copper ores. In the fifty years of this Company's existence, nearly 60,000,000 tons of such material has been successfully mined and treated. During these years, many changes in mining practice took place. However, at Copper Mountain, due to the large tonnages of very low grade material, it was realized that something more than changing mining methods would have to take place if these low-grade orebodies were to be mined at a profit and the Company and. its employees enjoy many years of successful operation and employment. Production costs were mounting commensurately with rising taxes and the increasing cost of supplies, labour, freight, and smelting, while the value of the product on the market was not increasing in price to compensate for the higher costs of production. A survey of the mineable ore in 1944 indicated that, of the 12,000,000 tons in the reserves, only 3,500,000 tons was now profitable ore. This reduction in the commercial ore reserves was a serious matter, as it meant that the mine had only two years of life at the profitable shipp1ng rate of 4,800 tons per day. Further, the location in the mine of the orebodies making up the 3,500,000 tons was not suitable for such high production.

For the purposes of this discussion it is assumed that contributors should express the thoughts that arise from their personal experience. So wide is the range of mineral deposits, and so varied the methods employed in their discovery and development, that no two geologists are likely to have been impressed with the same applications of their science. The author's own personal experience has been, during recent years at least, very largely concerned with the broader aspects of the employment of scientific method and geological knowledge to the problems of exploration and exploitation, for the guidance of the general public and governmental authority rather than of mine executives and directors. The view-point thus reached is likely to differ in many respects from that of men who are much more intimately concerned with the mining problems of a single metal or a single mining field, and for this reason a statement may perhaps supplement those from others whose experience has been markedly different.It may well happen that, at some not distant date in the future, when systematic and comprehensive instruction in economic geology is embodied in the courses- prescribed for mining engineers during their years of training, the author's comments will be quitesuperfluous; but at the present time they appear to him to call for expression.The Need for Training of Mining Men in Economic Geology.Contact over a period of many years with mining men who have had different kinds of training and experience has been convincing that there is a general reluctance to acquire a full rational understanding of the geological factors involved in exploratory and developmental problems. The correction of this attitude is regarded as vital to the industry and it is necessary to insist that the outstanding requirement of the present day is the utilization of all branches of geological, investigation in the field and the laboratoryby men who have had systematic and specialized training in these matters. The science of geology is many-sided, but is, nevertheless, whole and essentially indivisible. No one can afford to disregard any fraction of its content 'or any of its methods of investigation.The greatest advances have been made in the understarnding of the occurrence of mineral deposits by those whose knowledge Qfbasal principles, has been soundest, whose endeavour has been to ascertain all their relationships in space and time, whose attention to detail of all kinds has been keenest, and at the same time, whose capability to distinguish between major and minor features has been most marked.With the passage of the years and the accumulation of data from many lands, it has been possible to build up a great body of information regarding the primary deposition and secondary alteration of mineral occurrences, which is of the utmost value in guiding thesearch for new deposits to take the place of those that become exhausted. Current and potential dragline reclamation usage was evaluated for the U.S. coalfields based on data gathered and analyzed during field surveys, literature reviews and contacts with manufacturers. It was concluded that current mining plans have been adapted to federal and state strip mine and reclamation laws in ways which limit the potential for dragline reclamation systems at active mine sites. At abandoned conventional contour mine sites in steep-sloping areas such as central Appalachia, however, it was found that dragline reclamation systems have great potential application and may be the only practical solution to many reclamation problems. Alternative dragline systems were examined for restoring abandoned sites, and it was concluded that a tower excavator system offered superior characteristics and should be evaluated and developed under field conditions. A testing program was developed to provide a framework for the monitoring and analysis of cost, production and environmental data during a field demonstration of a tower excavator system.

"As part of the planning system at each division of Nchanga Consolidated Copper Mines, Limited, the Mine Planning Department is required to produce a detailed production schedule for each shaft.Because of the difficulties in producing a schedule which satisfies all the mining constraints, and because of the large clerical effort involved, the full range of possible schedules can never be considered.It has been found possible to produce a schedule using linear programming which satisfies the majority of the many varied mining constraints. Computer programs have been written to enable the mine planning department to use this mathematical system without assistance.The system has a large degree of flexibility to enable the planner to include conditions which cannot be incorporated readily in the linear program. This system permits the more efficient production and evaluation of schedules and reduces the amount of clerical effort."

"Strategies to improve performance in mining production, maintenance and mineral processing operations have evolved over time from straightforward time studies of individual machine performance in the 1960s-1970s to more sophisticated and better focused statistical and financial tools that have emerged in the 1980s-1990s. These newer strategies fall under the broad descriptive category of operational excellence.Operational excellence is the term that embodies a number of performance evaluating strategies, the most popular and relevant to mining include the following:• Six sigma for addressing errors within mining or milling process and work standards.• Lean manufacturing to optimize organizational and operational performance through continuous improvement.There are other strategies that can be applied as well and this paper is not focused on a review of the pros and cons of any one strategy. However, the common threads in these strategies embody the expectation that expected results from these efforts can be quantified and that value will positively benefit the targeted work process, organizational unit, equipment deployment or time schedule when applied to it as part of continuous improvement efforts.The priority for proceeding with any one or more of these efforts is based on the calculated net value of the required resources to make the change versus the estimated value gained. The practice is identified as the value mapping process.This discussion summarizes the value mapping process methodology used at a mature uranium mine and mill in northern Canada to work through the myriad of potential improvement efforts available through the operational excellence process for continuous improvement."

Thirty-seven blasts have been monitored using either three or four seismographs, at four coal strip mines and at a limestone quarry. Statistical analysis of the data shows that square-root, cube-root, and site-specific scaling methods predict peak particle velocities with about the same (low) degree of reliability. Some mines have peak particle velocities that are significantly lower or higher than the U.S. Bureau of Mines averages (Siskind et al., 1980). This suggests that the option provided by the proposed regulations (Office of Surface Mining, 1983), to adjust blast designs based on site-specific measurements could be highly beneficial both to operators and to the public. The frequency spectra reveal that the predominant frequencies were generally less than 50 Hz but several blasts had a significant amount of energy up to 125 Hz. In some cases the vibration energy was concentrated at frequencies corresponding to the delay intervals.

Since the late 19405, St. Joe has operated rubber-tired, trackless mining equipment underground in its Southeast Missouri Lead Belt operations. At first, the trackless equipment was operated in conjunction with rail haulage equipment in the room-and-pillar operations, but was to later replace rail haulage completely. The first pieces of equipment to travel on pneumatic rubber tires were short-haul shuttle cars of 12-ton capacity hauling rock from the heading to the mainline railroad. Early-model drill jumbos were the next pieces of production equipment to be carried on rubber, along with mobile slusher ramps. Mobile diesel equipment, in the form of conventional rear-dump trucks, made its appearance underground in the early 1950s, introducing the era of relatively high-speed mobile equipment as compared to the electrically powered shuttle cars. Haulage distances for rubber-tired vehicles were no longer dictated by trolley lines and trailing cables and tires were subjected to increasingly severe applications. St. Joe's first completely trackless mine, the Hayden Creek Mine, was opened in 1952, employing rubber-tired drill jumbos, electric shuttle cars, and for the first time, an articulated diesel truck consisting of the tractor unit of a conventional earthmoving scraper and a rear-dump rock wagon. Those machines rolled on the first true earthmover tires to be used underground by St. Joe. The articulated truck concept proved to be very successful, and constitutes an In- creasing portion of the underground haulage today.

The objective of this study was to investigate the environmental effects of slaking of surface mine spoils. To accomplish this, both field and laboratory programs were undertaken, supplemented by a thorough literature search. The field program consisted of drilling the highwall as well as test pitting in recent, two-, five, and ten- year-old spoil piles at four active mining sites in the eastern bituminous coal fields. Pertinent observations were made and samples collected for laboratory analyses which consisted of several standard geotechnical, agronomic, and geochemical tests. Durability tests utilized included jar slake, cyclic wet-dry, rate of slake, and slake durability tests. Correlation between field and laboratory portions was made- and results presented. The report is concluded with a discussion of the slaking process and associated environmental impacts, proposal of a preliminary classification system for use in premine planning, and presentation of management techniques to optimize the slaking process.

The original manuscript of section 2 of this series of miners' circulars devoted to accident prevention in bituminous-coal mines was completed in September 1944. At that time roof bolting had been tried with some success in the lead-mining district of south-eastern Missouri, but information on the subject was so fragmentary that it was not included as a method of roof support. References to roof support in bituminous-coal mines, therefore, were confined almost entirely to conventional timbering methods. In 1947 the Bureau instituted a research program and intensive study of the general problem of roof control, which emphasized roof-bolt application. The rapid increase in mechanized mining following the close of World War II provided the impetus for the Bureau's roof-control investigations, because the vertical supports used with conventional timber restricted the maneuverability of mechanical face equipment, and the industry wanted to explore every possible method of eliminating interference with the production cycle to gain full advantage of mechanized mining. Moreover, the accidental dislodgment of vertical supports greatly increased the roof-fall hazard. As roof falls have killed and seriously injured more mine workmen every year than any other cause or classification of injury since records have been kept, the Bureau assumed this investigative leadership with the prime objective of substantially reducing the annual toll from falls of roof, including falls of rib and face.

"INTRODUCTION The Rodessa oil field in Marion and Cass Counties, Tex., Miller County, Ark., and Caddo Parish, La., was discovered in August 1930, when a well drilled to a depth of 5,506 feet in Caddo Parish, close to the surface trace of the Rodessa fault, produced gas in commercial quantities. During the next 5 years 21 gas wells were drilled, and a large reserve of natural gas was developed in the high part of the Rodessa structure underlying the Massive Anhydrite member of the Glen Rose formation.In July 1935 oil was discovered on the flank of the structure when a well drilled to 6,048 feet also in Caddo Parish, was completed as an oil well. The discovery of oil in the Rodessa structure initiated art intensive development program of more than usual interest to geologists, engineers, and operators in the petroleum and natural-gas industry. The complex nature of the different reservoirs, the large volume of ""free"" gas under high pressures and temperatures in the upper part of the reservoirs, and the high gas:oil ratios of some of the wells during the early production of oil presented many problems the solution of which taxed the ingenuity of those responsible for the development and exploitation of the Rodessa field.Early waste of gas and resultant dissipation of reservoir energy led to State intervention, which brought about effective regulation of the quantity of gas blown to the air. Oil production from wells producing more than 2.000 cubic feet of gas per barrel of oil was restricted, and oil allowables generally were based equally upon acreage and upon reservoir pressures. Consequently, oil-production statistics of the field are closely associated with gas:oil ratios and reservoir pressures.The primary object of this report is to present factual and statistical data on well performance in the Rodessa field and to show established trends under certain operating methods and practices in high-pressure gaseous reservoirs, which have been carefully developed and outlined by modern technique and exploited under close engineering supervision.The large size of the Rodessa field, it’s fairly well defined gas caps, and a somewhat definite water table in a part- of the oil- and gas-producing region are of special interest and importance in a study of the fluid and energy relationships in reservoirs. Consequently, the results of much of the authors' work in collecting and compiling date are presented in the form of tables, maps and cross sections to show the relative thicknesses of the different oil-and gas-producing members and their permeability and porosity relationships, and, when possible, the variations in stratigraphy are exhibited in cross sections. Results of a detailed analysis of cores from a number of wells also are presented in tabular and graphic form."

By 2045, carbon-neutral mines will be economically producing products that are vital for the world’s transition to renewable energy. After overcoming significant technical challenges (and the investment of significant capital), leaders have successfully eliminated the use of diesel and other fossil fuels by introducing a wide range of new decarbonisation technologies. These leaders will be reaping the benefits of lower production costs (resulting from elimination of diesel), stable and predictable operations, and easier access to capital for their future projects. This paper describes a future scenario of how a net zero carbon and zero-entry mine could operate by taking maximum advantage of technologies in development or already proven in other industries. Some miners have been unsuccessful in their efforts to reach decarbonisation targets. Instead, they have been forced to close or offload their assets to be acquired by operators with better sustainability credentials, or, in some cases, to indigenous or community-based enterprises with vested interest in making operations viable and sustainable. Regardless of ownership structure, all successful mining operations will have fostered strong and positive community relations that bring education, health, security and economic development opportunities to the communities while respecting their traditions, land-uses and culture. As shallow, easy to mine deposits have become scarce, the majority of new mines are underground. Advancements in electric underground technology and the feasibility of ‘zero entry mining’ (with no personnel in active mining zones) has made it increasingly possible to economically operate underground mines, even at shallow depths. The newest mines have a near zero footprint on the surface, produce no harmful by-products, and are employing in-place or in situ methods of extraction that are efficient and low impact. Surface land-uses, such as agriculture and renewable energy generation, continue in the immediate vicinity of the mine, with no significant ground disturbance, community impact or environmental footprint.

This is one of a series of papers published by the Bureau of Mines on mining and milling methods and costs. The Tennessee-Schuylkill Corporation, Chloride, Ariz., mines and mills a lead-zinc ore containing gold, silver, and a small amount of copper. The mill products are lead and zinc concentrates that are shipped to smelters. The company was the second largest producer of lead and zinc in Arizona in 1937 and was seventh in gold production. Operations discussed are those being conducted at the mine in October 1938 and are representative of the complete operating period from 1936 to date.
