The mining industry has seen a flurry of merger and acquisition activity of late. Rising metal prices, increased spending on infrastructure in developing nations and the growing demand for companies to diversify have helped fuel M&A activity in this industry. Many analysts believe that the robust M&A activity will continue, particularly if the demand for mineral resources in India and China remains strong. Because prospective purchasers need to evaluate the various risks confronting target companies, acquiring mining companies requires a considerable amount of due diligence. Of these risks, environmental risk is critical and warrants significant analysis. The failure to properly assess environmental risks associated with remediation, reclamation, compliance or litigation can undermine the transaction. Such assessment is a difficult endeavor, however, due to several challenges that companies face when assessing environmental risks. To make matters more complicated, despite these challenges, many sellers ask buyers to assume all environmental risks with limited post-closing indemnification rights. This article addresses the most significant issues that commonly arise when conducting environmental due diligence and allocating environmental risk in connection with M&A transactions in the mining industry.

In the context of this session on "Practical Placer Mining," a projection of the present into the future first assumes that there is a future for Placers. The second assumption is that there is the combination of adequate reserves and a willing, mining investment source to finance placers. This paper will point out the opportunities on both assumptions, illustrating my positive position on the future of gold placers. In order to focus this paper more effectively, I have chosen GOLD as the subject mineral. However, it is recognized that much of the technology for exploring and mining gold placers has been applied to other alluvial deposits; including platinum, diamond, tin, and various industrial minerals (which are often referred to as "placers" though this contradicts historical definitions). Over the past 10 years I have presented several papers on the general subject of placers, most of which are listed under References. These have included topics such as exploration, evaluation, small-scale gold placer mining and decision-making, mining and processing equipment designs, and dredge-mining operations. In an attempt to identify the more promising, undeveloped placer potentials in the world I have usually mentioned the USSR and China but qualified them as being either inaccessible, or, politically difficult to obtain. However, with recent developments in the USSR, the obstacles appear to be somewhat diminished.

The structural setting of disseminated-replacement gold deposits of the Carlin-type and other aspects of their genesis are closely related to events which took place during the evolution of the Basin and Range province. The deposits formed as a result. of chemical and physical processes which took place at shallow depths in the roots of hot spring systems at moderate temperatures (about 200°C) and low pressures (about 25 bars) (Radtke and Dickson, 1974). Locations of Carlin-type gold deposits in the Basin and Range province are shown in Figure 1. Most of the block-faulted mountain ranges in the Great Basin formed by tectonic activity that happened since Miocene time, although faulting in some places probably began in Eocene to Oligocene time (Hamilton and Myers, 1966). The Carlin-type deposits are spatially related to Basin and Range-type faults: Many deposits, such as Getchell, Pinson, Preble, and Cortez, occur along the flanks of ranges, while other deposits, including Carlin (Radtke, 1974) occur within the ranges in areas characterized by crosscutting and intersecting high-angle or Basin and Range-type faults. The association of the ore deposits with Basin and Range-type faults is evidence that ore deposition is young, Miocene or later. The steep, high-angle faults played three roles: first, they provided deep channels for upward-flowing solutions; second, in preparing the rocks for fluid penetration by brecciation and general rock dislocation; and third, they moved sedimentary carbonate rocks, favorable for ore deposition, from deep levels to near-surface positions where the physico-chemical conditions were more suitable for the deposition of ore.

The production of soda ash from trona (sodium sesquicarbonate, Na2CO3•NaHCO3•2H2O) resources has completely displaced the production of synthetic soda ash in the USA. Further, the utilization of other trona resources is under consideration in China, Turkey, etc. Recent research has been concerned with the development of flotation technology for the trona industry. In this regard studies on the flotation behavior of sodium carbonate salts: trona, sodium carbonate monohydrate and decahydrate, as well as the flotation behavior of sodium bicarbonate, are reported for both cationic (dodecyl ammonium hydrochloride) and anionic (sodium dodecyl sulfate) collectors. It has been found that strong flotation of sodium bicarbonate (NaHCO3) can be achieved with 100% recovery, while the other sodium carbonate salts do not float well. These results have been explained by FTIR analysis of aqueous solutions of Na2CO3and NaHCO3in a range of concentrations from very dilute to saturated conditions. The changes in the shape of the O-H stretching band of water are correlated with the flotation behavior of Na2CO3salts and NaHCO3. In addition, the absorption band of the carbonate ion at ca. 1385 cm-1is used to monitor its interactions with water and/or other ions in solution. The infrared results demonstrate thatNa2CO3acts as a water structure maker, leading to an extensively hydrated surface that accounts for the poor flotation of most sodium carbonate salts. In contrast, NaHCO3does not have this characteristic and consequently complete flotation is possible with both cationic and anionic collectors. These results support the previous water structure analysis for soluble salt flotation of alkali halides and other oxyanion salts.

The vast majority of tailings in the Western Australian Goldfields are deposited in purpose-built storage facilities. At mine-sites with open-pit mining operations there is also the requirement to mine and stack large volumes of waste rock, usually into surface waste dumps. As these dumps have typically 30% of their gross volume present as voids, there is the potential to use this void space for the storage of tailings. The concept of co-disposal is to store the tailings material in the void space of the waste dumps, eliminating the need for a separate tailings storage facility. Dominion Mining Limited have been investigating the possibility of using co-disposal as a means of tailings storage. Laboratory testwork has been used to understand some of the issues associated with the concept, and assist in the design of an on-site demonstration of the concept. Co-disposal offers a number of potential advantages, and despite a number of practical hurdles to overcome, considerable economic and environmental benefits could be realised if this concept can be demonstrated on a commercial scale. The major advantage of such a system is to remove the need to build, operate and rehabilitate a separate tailings storage facility. Rehabilitation can be incremental throughout the mine life as the co-disposal site will be virtually indistinguishable from a current waste dump in both size and form. Other potential advantages include more stable waste dumps, less land area disturbed on the project site, and better water recovery from the tailings.

Recovery of cyanide from mill tailings can be conducted to lower the overall cost of precious metals extraction, while lowering cyanide concentrations in mill discharges and potentially eliminating the need to chemically destroy cyanide. Recent applications of cyanide recovery based on acidification­volatilization-reneutralization (A VR) technology have elimi­nated the need for cyanide destruction and substantially increased the profitability at several gold and silver operations. Recent developments in the technology permits processing of scale-prone and high percent solids pulps while generally affecting cyanide recoveries in excess of 70% to 90%.

The amount of hydrophobic materials constituting the mineral froth strongly influences the froth viscosity. Higher truth viscosity, on the other hand, can retard the drainage of physically carried over, hydrophobic particles. In phosphate flotation tests, a direct correlation was observed between froth viscosity and recovery, and an inverse correlation existed between froth viscosity and grade. Phosphate flotation tests in the presence of a silica depressant indicated that higher froth viscosity is an effect rather than a cause for the presence of silica particles in the froth.

Newmont has been on a focused path of improving operations for many years. After the merger of Newmont and Santa Fe Pacific Gold, Newmont created significant synergies of over $50 million per year in Nevada, primarily through optimal ore movements and consolidation of various functions. During the current period of low gold and copper prices, Newmont has refocused its efforts on efficient operations worldwide. This paper will describe the methods and programs that continue to be implemented at Newmont's many mine facilities in Nevada. Newmont has used a combination of computer technology, optimal use of infrastructures, procurement strategies, functional consolidation, enhanced mine planning and a variety of available metallurgical processing options to decrease the cost of operations and increase profitability.

Efficient and re1iable methods of fragmentation through blasting have been sought ever since the introduction of black powder in mining operations, but the pace of investigation became faster with the discovery of nitroglycerine. The development of modern measuring instruments and the need to blast more rock with the least damage has made the study of blasting mechanics and its application more important, particularly since the oil embargo. Investigations into the practical approach evolved by Daws (1909) and the work done to make it more useful is discussed. The work of several investigators is touched upon with particular reference to the development of computer programs to simulate and optimize blasting operations.

Laterite ore slurries exhibit Bingham plastic behavior and can be characterized by the magnitude of their yield point and Bingham viscosity. These two parameters are affected by ore composition, solids concentration, and temperature and are used to predict the pressure drop in pipelines and heat transfer coefficients in shell-and-tube heat exchangers. In cycloning of laterite slurries, the calculated cut size is corrected by factors obtained from the rheological parameters.

Introduction Brine reservoirs along the Texas and Louisiana Gulf coasts are currently under study to investigate the technical and economic viability of production wells designed to extract methane gas in solution. The effect of well pressure drawdown on reservoir rock and associated overburden material is important to well performance predictions and the analysis of potential subsidence problems. Consequently a series of compaction tests have been conducted on sandstone and shale cored from a test well drilled near Hitchcock, Texas, in order to determine the variation of mechanical properties to be expected over the producing life of the formation. Previous Work The referenced tests are part of an extended study of geopressured-geothermal reservoir behavior, including compaction (Jogi, Gray, Ashman, and Thompson, 1981 and Jogi, Kalra, Gray, and Thompson, 1981) and creep (Thompson, Jogi, Gray, and Richardson, 1981) tests of reservoir rock and related reservoir performance studies (Rago, Okhuma, Seperhnoori, and Thompson, 1985). Recent work has considered the nonlinear constitutive behavior of sandstone (Fahrenthold and Gray, 1985 and 19861, while additional experimental work is reported here. Geological structure and composition of the Hitchcock field from which the core samples were obtained is discussed by Light (1985). Experimental Procedure Compaction tests were conducted on cylindrical cores, nominally 2.75 inches in length and 2 inches in diameter, with independent control of the axial, confining, and pore pressures. Axial and radial deformation of the samples were measured in tests over a range of effective stress states expected to develop over the reservoir lifetime. The term effective stress as used here refers to the algebraic difference of the total stress and pore pressure, with compression taken as positive. Three types of compaction tests were conducted on the sandstone. In the uniaxial tests, axial total stress and radial strain were held constant as the pore pressure was reduced, similating one dimensional compaction which may occur during reservoir depletion. In the triaxial tests, radial total stress and pore pressure were held constant as the axial total stress was increased, duplicating conventional rock compaction test procedures. In the pore pressure drawdown tests, axial and radial total stresses were held constant while the pore pressure was reduced, in order to investigate differences in sample response to mechanical and pore pressure loading. Compaction tests were also conducted on shale material obtained from the reservoir overburden. The field coring process provided few consolidated shale sections sufficiently large to allow preparation of samples with the dimensions described above. With additional attrition during sample preparation of this brittle material, ultimate yield of the coring effort was limited. The few available samples were tested in uniaxial and triaxial tests similar to those described above. The use of displacement transducers to measure sample deformation avoided the difficulty of strain gauge installation on this material. Test Results The sandstone and shale both demonstrated nonlinear stress-strain behavior, with hysteresis and residual strain present upon unloading. Polynomial interpolation of the stress-strain curves was used in the calculation of incremental values for the loading and unloading moduli. Figures 1 and 2 show example axial effective stress-axial strain curves for triaxial tests conducted on sandstone and shale samples. The figures plot incremental stress and strain variables, defined as deviations from the state of prestress to which the sample was subjected. The state of prestress was varied between tests in order to investigate material behavior over the entire stress and strain space of interest. This paper describes the emergency water control measures used at Pegasus Gold's Zortman Landusky mine during the September 1986 flood. The amount of solution stored increased by approximately 78 165 m3 due to receiving 0.2134 m of rain in a 24 hour period. Three methods of water disposal will be discussed including continuous chlorination, batch chlorination, and reverse osmosis. A water management program will also be discussed.

No one involved in the contruction business wants litigation, except maybe some lawyers. Contractors rarely resort to litigation unless they have sustained econmic wounds that are serious or mortal. The major cause of serious contractor losses occur because of sub-surface conditions which cannot be defined with certainty in any practicable way except as shown during construction and prove during construction to be substantially worse and more expensive to cope with than anticipated during bidding. Building, Dam and Highway contractors are generally close in their estimates of cost after they get foundations excavated and are building above ground. Their main risk in bidding is the cost of getting out of the ground compared to their estimate. So maybe 10%, 20% or even 30% of their project represent high risk underground work. The tunneling and underground contractor is dealing with high risk work for virtually 100% of his project. He appreciates this risk and is willing to assume it up to a bearable limit. His costs are highly sensitive to relatively small variations of the ground in underground work. His work is unique in other respects. As contrasted with other types of construction where loads develop as construction progresses and do not reach ultimate until the project becomes operative, tunnel and underground construction requires the immediate structural support of ultimate loads that are there when he digs or very soon thereafter. Many coal characteristics affect combustion performance. Mill wear, boiler efficiency and derate, slagging, fouling, and ash collection and removal are only a few of the impacts of coal quality on boiler performance. The ability to assess fuel characteristic impacts on busbar costs is essential, although difficult to obtain. The relationships between coal characteristics and ignitability, operability, slagging, and fouling were investigated. The examination of combustion data/performance from a laboratory study, a boiler simulation system (pilot combustor), and commercial boilers indicated the benefits of burning improved quality coal. The specific effects of cleaning are discussed. A validation of the necessity of commercial-scale and/or pilot-scale testing is presented.

The ability to efficiently process low grade gold ores has allowed the Gold Fields Mesquite Mine in Imperial County, California to expand from a 2.1 million tonne per year rate in 1986 to its present 7.3 million tonne per year processing rate. Increased tonnage demands led to the 1989 construction and start-up of a dump leach pad to supplement the existing heap leach operation, resulting in an excellent opportunity to compare the two processes at the same operation. Additional operating costs associated with the crushed ore heaps are justified through enhanced recoveries, even at very low ore grades. An overview of current operating practices at Mesquite is presented along with metallurgical and economic comparisons between the crushed and run-of-mine ore heaps.

AMAX's Sleeper Mine uses conventional cyanidation milling and heap leaching techniques to produce gold. Since milling operations commenced in March 1986, average ore processing rates have improved from the design rate of 455 tonnes per day to more than 720 tonnes per day. Heap leaching was added to the process facilities in September 1986 at a design rate of 1,500 tonnes per day, and current heap leaching rates exceed 2,680 tonnes per day. Presented are descriptions of the Sleeper processing facilities with emphasis on the crushing and grinding circuits, a review of the selection of crushing and grinding equipment, and a summary of operating performance during the first 16 months of operations.

The Bureau of Mines is examining mineral deposits bearing strategic elements such as cobalt, for which the United States heavily relies on imports. The Turner-Albright volcanogenic sulfide deposit in southwestern Oregon is marginally economic based on its gold content and associated silver, copper, zinc, and cobalt values. Bureau research on the Turner-Albright deposit was performed (1) to evaluate domestic cobalt recovery as a byproduct of gold production from massive sulfide ores; (2) to develop an analogue of modern sea-floor polymetallic deposits to determine the economic potential of the deep-sea resources; and (3) to compile information on the geochemistry and genesis of the deposit that can aid in future onshore exploration. Cold was introduced as near micrometer-sized disseminations by exhalative hydrothermal fluids near sea-floor vent sites and by late influxes of mineralizing fluids into lower zones of brecciated sulfides and basaltic fragments. Cobalt is a substitutional element in pyrite that occurs in outlying halos around original vent sites. Mineralogic studies conducted with a scanning-electron microscope and an electron microprobe determined that none of the ore minerals are amenable to traditional beneficiation methods such as gravity and flotation. An experimental oxygen pressure-leaching procedure developed by the Bureau has proven successful in treating such complex ores.

Experiments using an optically polished Pyrex disk and aqueous dodecylammonium acetate (DAA) films showed that the velocity with which the films recede increases markedly if the runs are repeated at short time intervals, where equilibrium cannot be reattained. This results from DAA molecules being desorbed from the disappearing liquid-air interface and being deposited on the solid-air interface being formed. Controlled experiments with Pyrex particles in a modified Hallimond tube showed a similar increase in flotation rate, again due to excess adsorption of DAA molecules that were transferred to the solid-air interface from the bubble on contact.
